Terms of Service

These Terms of Service ("Terms") form a binding agreement between you ("you," "your," or "Customer") and ZenPrism ("ZenPrism," "we," "us," or "our"), a business operating under the laws of India. They govern your access to and use of our monday.com marketplace applications ("Applications") and our website at zenprism.dev ("Website"), referred to collectively as the "Services."

ZenPrism is not a monday.com entity or affiliate, and your use of the monday.com platform is governed by monday.com's own terms and conditions.

By accessing or using the Services, you acknowledge that you have read and understood these Terms and agree to be bound by them and by our Privacy Policy. If you do not agree to these Terms, you should not access or use the Services.

If you are entering into these Terms on behalf of an organization, you represent that you are authorized to bind that organization to them.

1. The Services

Our Applications are integrations built for the monday.com platform. They connect third-party services to your monday.com boards and synchronize data according to the configuration you set. The specific functionality of each Application is described on its monday.com marketplace listing, which forms part of these Terms.

2. Eligibility

To use an Application, you must maintain an active monday.com account, along with any accounts required by the third-party services the Application connects to (for example, a ShipStation account with API access). You are responsible for keeping these accounts in good standing.

3. Your Data

You are responsible for the data you provide to and through the Applications, and for the configuration choices you make. Our handling of your data is described in our Privacy Policy.

4. Subscriptions and Billing

Applications may be offered on tiered, usage-based plans, typically with a free trial. The current plans, limits, and pricing for each Application are shown on its monday.com marketplace listing. All billing is handled by monday.com through its native monetization system; we do not process payments, and we do not receive or store your payment details.

We may revise our plans and pricing from time to time, with any changes applying to future billing periods.

5. Acceptable Use

When using the Services, you agree that you will not:

  • Use the Services in violation of any applicable law or regulation;
  • Interfere with or disrupt the Services, or the systems and networks used to provide them;
  • Attempt to gain unauthorized access to the Services, to other customers' data, or to any connected system;
  • Reverse engineer, decompile, or otherwise attempt to derive the source code of the Services; or
  • Resell or redistribute the Services, except as permitted by monday.com's marketplace terms.

6. Support

We provide support on a commercially reasonable, best-effort basis by email at contact@zenprism.dev. We do not guarantee any specific response time, resolution time, uptime, or round-the-clock availability, though we aim to respond as promptly as is practical.

7. Intellectual Property

The Services, together with all associated software, content, and branding, are owned by ZenPrism and protected by applicable intellectual property laws. These Terms grant you a limited, non-exclusive, non-transferable, and revocable license to use the Services for your internal business purposes. Data you synchronize to your monday.com board remains yours.

8. Third-Party Services

The Applications depend on monday.com and other third-party services, each governed by its own terms and privacy policies. We are not responsible for any outage, error, change, delay, or data loss caused by those third parties, or for changes they make that affect the Applications' functionality.

9. Disclaimer of Warranties

The Services are provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, whether express or implied, including any warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or free from delays, or that they will meet your specific requirements.

10. Limitation of Liability

To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, revenue, data, or business arising out of or relating to the Services. Our total aggregate liability will not exceed the fees you paid for the applicable Application during the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain of these limitations, so some of the above may not apply to you.

11. Indemnification

You agree to indemnify and hold ZenPrism harmless from any claims, losses, or expenses arising out of your misuse of the Services, your breach of these Terms, or your violation of any law or third-party right.

12. Termination

You may stop using the Services at any time by deactivating the relevant workflow or uninstalling the Application. We may suspend or terminate your access if you breach these Terms, misuse the Services, or where we are required to do so by law.

Any provisions that by their nature should survive termination — including Sections 7, 9, 10, 11, and 14 — will continue to apply.

13. Modifications

We may modify the Services or these Terms from time to time. Where changes are material, we will post the updated Terms on this page with a revised "Last updated" date. Your continued use of the Services after the changes take effect constitutes your acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict-of-law principles. Nothing in these Terms limits any mandatory consumer or data-protection rights you may have under the laws of your own country.

15. Miscellaneous

  • Severability: If any provision of these Terms is found to be invalid or unenforceable, it will be limited or removed to the minimum extent necessary, and the remaining provisions will remain in full force and effect.
  • Entire Agreement: These Terms, together with our Privacy Policy and the applicable marketplace listing, constitute the entire agreement between you and ZenPrism regarding the Services.
  • No Waiver: Our failure to enforce any provision is not a waiver of our right to enforce it later.
  • Assignment: You may not assign or transfer these Terms without our consent. We may assign them in connection with a merger, acquisition, or sale of assets.
